The Board is of the view that the issue of the Requisition Notice by Mr Luo in respect of his intention to call for an EGM to seek the removal of certain directors and the appointment of other directors is an attempt to circumvent the breach of corporate governance in respect of the Unauthorised Withdrawals involving companies controlled by Mr Luo. |

The Board is of the opinion that, until such time that matters in respect of the Unauthorised Withdrawals and the proposed removal and appointment of directors are resolved, it would be prudent for the Company to request for a voluntary suspension of trading in its shares. |
